Terms of Service

Effective: September 29, 2026 · Last updated: October 18, 2026

These Terms of Service ("Terms") govern your access to and use of the Yard Letter website at yardletter.com, the Yard Letter web application (including demo and preview accounts), any grower subdomains or hosted pages we provide, and any related dashboards, availability lists, quotes, invoices, reports, documentation, release notes, content, and services that link to or reference these Terms (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

The Services are operated by Yard Letter LLC ("Yard Letter," "we," "us," or "our").

Contact: legal@yardletter.com
Address: 5021 Vernon Ave S, Suite #136, Minneapolis, MN 55436

2. Definitions

For purposes of these Terms:

  • "Grower" or "you" means the business that creates or uses a Yard Letter account, including a demo or preview account, such as a wholesale nursery, greenhouse, sod farm, or tree farm, and anyone using the Services on its behalf.
  • "Authorized Users" means your owners, employees, and contractors you invite to your account, including field or yard staff.
  • "Buyer" means a landscaper, contractor, retailer, or other customer of a Grower who views a Grower's availability pages, requests or receives a quote, places an order, or receives an invoice or email through the Services.
  • "Grower Data" means information you or your Authorized Users enter, upload, import, or send to us, including inventory counts, plant and product details, photos, price lists, pricing rules, Buyer contact lists, orders, quotes, and invoices.
  • "Hosted Pages" means availability lists, order forms, quote pages, invoice pages, and other pages we host for you on a Yard Letter domain or subdomain.

3. Acceptance; business use only

You represent that you are at least 18 years old or the age of majority in your jurisdiction, have the legal capacity to agree to these Terms, and, if you use the Services on behalf of a business, have the authority to bind that business to these Terms.

The Services are designed for business use by Growers and their Buyers. They are not offered for personal, family, or household purposes.

4. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above shows when the latest version was posted. If we make material changes, we will give you at least 30 days' notice by email or in-app notice before they take effect, unless a change is required sooner by law or for security. By continuing to use the Services after updated Terms take effect, you agree to the revised Terms. If you do not agree, you may cancel before they take effect.

5. Accounts, users, and acceptable use

5.1 Accounts and Authorized Users

You are responsible for maintaining the confidentiality of your login credentials, for the accuracy of your account information, and for all activity under your account, including activity by your Authorized Users. You decide which Authorized Users may view, enter, adjust, or approve inventory, prices, quotes, and invoices. Tell us promptly at legal@yardletter.com if you believe your account has been accessed without permission.

5.2 Acceptable use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • interfere with or disrupt the Services or their security;
  • attempt to gain unauthorized access to the Services, servers, other Growers' accounts, or related systems;
  • use the Services to transmit malware, spam, or unlawful material;
  • scrape, crawl, harvest, or use automated means to extract data from the Services, including other Growers' Hosted Pages, except as permitted by law or with our prior written permission;
  • copy, reproduce, distribute, or exploit the Services or their content except as expressly permitted by these Terms;
  • post false or misleading availability, pricing, or product claims, or list plants or products you are not legally permitted to sell;
  • enter payment card numbers, bank account numbers, government ID numbers, or health information in the Services, including in notes;
  • use the Services to coordinate prices, availability, or bids with competing Growers, or otherwise violate antitrust or competition laws.

5.3 Done-for-you setup and support

If you ask us to set up or update your account, for example by importing an inventory spreadsheet, price list, availability list, or customer list you send us, you authorize us to access your account and Grower Data to do that work. We may use AI tools to help read and organize what you send, and we load only what's needed to run your account, as described in our Privacy Policy. We will take reasonable care, but you are responsible for reviewing what we set up before you publish it to Buyers or rely on it. We are not responsible for errors in the source material you provide.

6. Availability pages, quotes, invoices, and payments

6.1 Hosted Pages

You control what appears on your Hosted Pages, including which items, quantities, sizes, photos, and prices are shown. Hosted Pages are reached by link and are not password-protected. Anyone who has a link can open that page, including if a Buyer forwards it, so share each link only with its intended Buyer. You can replace an availability or customer link at any time, which turns off the old one. You are responsible for keeping availability, pricing, and product descriptions accurate and current. Hosted Pages may display a small "Powered by Yard Letter" notice.

6.2 Buyers

Buyers who use a Hosted Page, request a quote, place an order, or pay an invoice through the Services agree to Sections 5.2, 10, 12, 13, and 14 of these Terms. Any sale, order, delivery, substitution, warranty, return, or credit is a transaction between the Grower and the Buyer. Yard Letter is not a party to it, is not the seller of any plant or product, and does not guarantee that any item shown as available can be supplied. Questions about an order go to the Grower.

6.3 Price lists and quotes

The Services can calculate prices and quotes from the price lists, customer price assignments, and adjustments you set up. Yard Letter does not recommend, suggest, or set prices; you set your own. You are responsible for those rules and for reviewing a quote before you send or honor it. A quote is an offer from you, on your terms, not from Yard Letter.

6.4 Invoices

The Services can record when you invoice an order and apply deposits you've recorded to it. Yard Letter is not an accounting, tax, or bookkeeping service. Yard Letter does not calculate or look up tax rates, decide exemptions, or file or remit taxes. You are responsible for your invoice terms, for charging and remitting any sales or use tax, for applying any Buyer tax exemptions, and for reconciling invoices with your accounting system. If you connect a third-party accounting tool, such as QuickBooks, that tool's terms govern your use of it.

6.5 Payments

If we offer online payment of invoices, payment processing services for Growers are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (together, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to operate as a Grower who accepts payments through the Services, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it. As a condition of Yard Letter enabling payment processing through Stripe, you agree to provide Yard Letter accurate and complete information about you and your business, and you authorize Yard Letter to share it and transaction information related to your use of the payment processing services provided by Stripe. Yard Letter does not hold Buyer funds, is not a bank or money transmitter, and does not store full payment card numbers. Refunds, disputes, and chargebacks between you and a Buyer are your responsibility, subject to Stripe's rules. Any Yard Letter payment fees will be shown before you turn payments on.

6.6 Email and messages to Buyers

If you use the Services to send availability lists, quotes, invoices, promotions, or other messages to Buyers, you are the sender. You are responsible for having the right to contact each recipient, for honoring unsubscribe requests, and for complying with anti-spam laws such as the CAN-SPAM Act. We may limit sending volume, require an unsubscribe link on marketing messages, or pause sending to protect deliverability for all Growers. If you send an availability list or other message from your own email account, for example using a link from Yard Letter, Yard Letter does not send that email and cannot confirm it was delivered.

6.7 Your obligations as a seller

You are responsible for holding any licenses or certificates required to sell plants and nursery stock, such as a state nursery or live plant dealer license, and for complying with plant quarantine, invasive or noxious species, pesticide labeling, and product-claim rules that apply to what you list and sell.

6.8 Field use and offline entry

Some features may let Authorized Users enter counts or adjustments on a phone with weak or no signal, then sync later. Entries made offline may sync late, conflict with other entries, or be lost if a device is reset or damaged before syncing. Any approval or review features are there to help you catch mistakes; you decide how to use them.

6.9 AI-assisted features

We use AI tools to help read and organize files you send for setup, and some features may also use automated or AI tools. These outputs can be wrong. Review them before you rely on them, publish them, or bill from them.

7. Fees, billing, and cancellation

7.1 Plans

Yard Letter subscriptions are billed monthly. There is no annual commitment. The plan, price, and what it includes are shown at sign-up and in your account settings.

7.2 Free periods and early-access offers

We may offer a free trial, a free early-access period, or free setup. The length and terms of any such offer will be stated when you accept it. We will not start charging you at the end of a free period unless you have chosen a paid plan and given us a payment method, and we will email you before your first paid charge.

7.3 Billing

By choosing a paid plan and giving us a payment method, you authorize us (through our payment processor) to charge the monthly fee on a recurring basis until you cancel. We will send a confirmation email showing the price, the billing date, and how to cancel. Payments are processed by our payment processor; we do not store full payment card numbers.

7.4 Cancellation

You can cancel at any time from your account settings or by emailing legal@yardletter.com. Cancellation takes effect at the end of the current monthly billing period, and you keep access until then. We will confirm the cancellation by email. We may ask why you are leaving, but answering is optional and will not delay cancellation.

7.5 Price changes

We may change subscription pricing. We will give you at least 30 days' notice by email before a price change applies to you. If you do not want the new price, you may cancel before it takes effect.

7.6 Taxes

Fees do not include sales, use, or similar taxes. If we are required to collect tax in your state, it will be added to your bill.

7.7 Refunds

Fees are non-refundable for partial months, unless required by law. If you were charged in error or the Services were unavailable for an extended period, contact legal@yardletter.com with your account email and the charge, and we will review it in good faith.

7.8 Failed payments

If a payment fails, we will notify you and retry. If it is not resolved within 14 days, we may pause your account. Pausing does not delete your Grower Data, and your Hosted Pages may be hidden until payment is resolved.

8. Your data

8.1 You own your Grower Data

You keep all rights in your Grower Data. You give us a limited license to host, copy, process, display, and transmit it only as needed to provide, secure, support, and improve the Services for you, including showing it on your Hosted Pages and sending the quotes, invoices, and messages you direct. We process Grower Data as described in our Privacy Policy.

8.2 Roles

To the extent Grower Data includes personal information about your Buyers or staff, you are the business or controller for that information, and Yard Letter processes it on your behalf as a service provider or processor, to the extent those concepts apply under applicable law. You are responsible for having any notices or consents needed to give us that information.

8.3 We do not share your prices or customers with other Growers

We do not sell Grower Data. We do not show one Grower's prices, costs, inventory, Buyer lists, or sales to another Grower, and we do not use Grower Data for competitive benchmarking. We do not contact your Buyers using your Grower Data except to deliver the Services at your direction, such as sending an invoice you created.

8.4 Security and incidents

We use commercially reasonable administrative, technical, and organizational measures designed to protect Grower Data. No system is perfectly secure. If we learn of unauthorized access to your Grower Data, we will notify you without unreasonable delay and give you the information we reasonably can so you can meet any notice obligations you have.

8.5 Service providers

We use service providers, such as hosting, database, email delivery, payment, error-monitoring, and AI providers, to help provide the Services. We require them to protect Grower Data and use it only to provide services to us.

8.6 AI and model training

We do not use Grower Data to train or fine-tune general-purpose AI models, and we do not allow our AI providers to do so. We may use Grower Data to provide and improve features for your own account, such as learning your product names to read your imports more accurately.

8.7 Export, retention, and deletion

You can export your inventory, price lists, Buyer list, orders, and invoices, in the app or by asking us for a copy, at any time while your account is active. After you cancel, you can still export or ask for a copy for 30 days. We then delete Grower Data within 30 days, unless a longer period is required by law or needed for security, billing records, or dispute resolution. Invoices and payment records may be kept as long as tax and accounting rules require. Backups are overwritten in the ordinary course. Files you send us for setup are deleted within 30 days after your setup is complete. Support communications are generally kept up to 24 months after the last interaction, and security and operational logs up to 12 months.

9. Early access, beta features, and materials

Some features may be labeled early access, beta, or preview. They may change, have bugs, or be removed. The Services may include documentation, release notes, roadmaps, or descriptions of planned features ("Materials"). We are not obligated to release any feature described in the Materials.

Demo and preview accounts. If we give you a demo or preview account, for example through a link in a letter, you may use it to try the Services for free until it expires. It may include sample data, may be reset or changed, and is provided as is. If you sign up, your preview account becomes your account and what you entered carries over. If you don't, we delete it as described in our Privacy Policy.

10. Intellectual property and feedback

The Services and all their software, design, text, graphics, logos, templates, and documentation are owned by or licensed to Yard Letter and are protected by intellectual property laws. Grower Data is excluded, as described in Section 8.

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your internal business operations during your subscription. You may not copy, modify, distribute, reverse engineer, create derivative works from, or otherwise exploit the Services except as allowed by law or by our prior written consent.

If you send us ideas, suggestions, bug reports, or feature requests ("Feedback"), we may use that Feedback without restriction, attribution, or compensation to you. Feedback does not give you ownership of any product or improvement.

Feedback is the idea itself, such as a feature request or a bug report. Any Grower Data you include with it, such as your prices, costs, or Buyer details, stays your Grower Data under Section 8.

If we suggest ideas, for example how to set up your account or lay out your availability list, you're free to use them however you like. Our suggestions don't give us any rights in your business, your products, or your Grower Data, and they aren't professional advice.

Yard Letter names, logos, and branding are our property and may not be used without prior written permission.

11. Third-party services

The Services may link to or integrate with third-party services, such as payment processors, accounting software, email providers, and mapping tools. We do not control them and are not responsible for their content, availability, or practices. Your use of them is governed by their own terms and policies.

12. Informational content only; verification required

Reports, counts, estimates, days-until-sold-out figures, price calculations, and other outputs of the Services are provided to help you run your business. They do not constitute financial, accounting, tax, legal, horticultural, or business advice.

Outputs depend on the data you and your Authorized Users enter and may be incomplete, delayed, or inaccurate because of data entry errors, sync delays, offline entries, imports, third-party systems, or configuration choices. You are responsible for verifying important information before relying on it, and for your pricing, availability, quotes, invoices, and business outcomes.

13. Disclaimers

THE SERVICES AND ALL CONTENT AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YARD LETTER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND AVAILABILITY.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
  • INVENTORY COUNTS, AVAILABILITY, PRICES, QUOTES, OR INVOICES PRODUCED BY THE SERVICES WILL BE ACCURATE OR COMPLETE;
  • OFFLINE ENTRIES WILL SYNC WITHOUT DELAY, CONFLICT, OR LOSS;
  • AI-ASSISTED OUTPUTS WILL BE CORRECT;
  • ANY THIRD PARTY WILL CONTINUE TO MAKE ITS SERVICES OR INTEGRATIONS AVAILABLE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YARD LETTER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, INVENTORY, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YARD LETTER'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

15. Indemnification

You agree to defend, indemnify, and hold harmless Yard Letter and its officers, members, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: your misuse of the Services; your violation of these Terms; your Grower Data or Hosted Pages; your sales, quotes, invoices, or messages to Buyers; or your violation of applicable law or third-party rights.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws rules.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Informal resolution first. Before filing a claim, you agree to email legal@yardletter.com with a brief description of the dispute and your contact information. We both agree to try to resolve it informally for at least 30 days before starting formal proceedings.

Arbitration. Except for disputes eligible for small claims (conciliation) court and claims seeking injunctive relief related to intellectual property, unauthorized access, or misuse of the Services, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis under the Federal Arbitration Act, administered by the American Arbitration Association under its applicable rules, by videoconference or, if required, in Hennepin County, Minnesota.

Small claims carve-out. Either party may bring an individual action in small claims or conciliation court, so long as it stays in that court and proceeds only on an individual basis.

Class action waiver. YOU AND YARD LETTER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Jury trial waiver. To the extent any dispute proceeds in court rather than arbitration, each party waives any right to a jury trial to the fullest extent permitted by law.

Opt-out. You may opt out of arbitration by emailing legal@yardletter.com within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and enough information for us to identify your account.

17. Termination and suspension

Your right to terminate. You may stop using the Services and cancel at any time, as described in Section 7.4.

Our right to suspend or terminate. We may suspend or terminate your access if you materially violate these Terms, fail to pay, create security or legal risk for the Services or other Growers, or if required by law. Where reasonable, we will give you notice and a chance to fix the problem first, and a chance to export your Grower Data.

Effect of termination. When your access ends, your right to use the Services ends and your Hosted Pages go offline. We handle Grower Data as described in Section 8.7.

Survival. Sections 6.2, 8, 10, 12, 13, 14, 15, 16, 17, and 18 survive termination.

18. Miscellaneous

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets, and will notify you if we do.

Severability and waiver. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.

Entire agreement. These Terms, together with any order form, early-access offer, or policy expressly incorporated by reference, are the entire agreement between you and Yard Letter about the Services. If an order form or signed offer conflicts with these Terms, the order form or offer controls for that item.

Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, severe weather, pandemics, war, labor disputes, utility or internet failures, government actions, or third-party platform outages.

Electronic communications. By using the Services, you consent to receive communications from us electronically. These satisfy any legal requirement that communications be in writing.

Export controls. You agree not to use the Services in violation of U.S. export control laws or regulations.
